Terms of Service

By accessing or using the Argentait website (https://argentait.com) and our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Site or services. We recommend printing a copy of these terms for future reference.

"Site" refers to https://argentait.com.

"Services" refers to IT consulting, software development, and related services.

"User," "you," "your" refers to individuals accessing the Site.

"Client" refers to users who engage our services.

"Content" refers to all materials on the Site.

"Deliverables" refers to work product provided to clients.

You may use our Site for lawful purposes only. You agree not to use the Site:

1. in any way that violates applicable laws;
2. to transmit harmful code or malware;
3. to attempt unauthorized access to systems;
4. to interfere with other users' access;
5. to scrape or harvest data without permission.

We reserve the right to terminate access for violations.

All content on the Site including text, graphics, logos, icons, images, audio clips, software, and code is the property of Argentait or its content suppliers and is protected by United States and international copyright laws. The ARGENTAIT name, logo, and all related names and marks are trademarks of Argentait LLC.

Client projects: Upon full payment, clients receive ownership rights to custom deliverables. Pre-existing IP and general methodologies remain Argentait property.

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Users may not:

1. Copy, modify, or create derivative works without consent;
2. Attempt to decompile or reverse engineer software;
3. Remove copyright or proprietary notices;
4. Transfer materials to another person or mirror on another server;
5. Use for competitive intelligence without written consent;
6. Automate access via bots or scrapers;
7. Harass, abuse, or harm another person.

Service engagements are governed by individual Statements of Work (SOW) which specify: project scope, deliverables, timeline, payment terms, and acceptance criteria. SOWs take precedence over these general terms where there is a conflict.

Unless otherwise specified in the SOW:

• Projects require a 50% deposit before work begins.
• Net 15 payment terms for invoiced amounts.
• Late payments subject to 1.5% monthly service charge.
• All fees are in USD unless otherwise specified.
• Refunds are provided per the SOW terms.

Both parties agree to maintain confidentiality of proprietary information disclosed during the engagement. This obligation survives termination for a period of 3 years. Exclusions: publicly available information, independently developed information, information required to be disclosed by law.

To the fullest extent provided by law, in no event will Argentait, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site or Services.

In no event shall Argentait's total liability to you for all damages exceed the amount you have paid to Argentait for the specific services giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Argentait and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses arising from your breach of these Terms.

These Terms remain in full force while you use the Site. We may suspend or terminate your access immediately for any reason. All provisions which by their nature should survive termination shall survive.

Any dispute shall first be addressed through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to mediation. If mediation fails, disputes shall be resolved by binding arbitration under AAA rules in New York, NY.

These Terms are governed by the laws of the State of New York without regard to conflict of law principles. Any legal action shall be brought in the courts of New York County.

We may revise these Terms at any time. Changes are effective immediately upon posting. Material changes will be notified via email or prominent notice. Continued use constitutes acceptance.
